1. Acceptance of Terms

Welcome to Docurest. These Terms of Service ("Terms") govern your access to and use of the Docurest website, applications, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.

If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Docurest is an AI-powered document search and chat platform that enables you to:

• Upload and store documents
• Process documents using artificial intelligence
• Search your documents using natural language queries
• Receive AI-generated responses based on your document content
• Integrate chat functionality into websites and applications
• Connect to messaging platforms such as Telegram

The Service is provided on a subscription basis with various plan tiers offering different features and usage limits.

Docurest is a cloud-based Software-as-a-Service (SaaS) platform. All features are delivered digitally via the internet. No physical products, physical goods, or physical delivery of any kind is involved.

3. Account Registration

To use the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

You must be at least 16 years old to use the Service. By using the Service, you represent that you meet this age requirement.

4. Subscriptions and Payments

4.1 Subscription Plans

The Service offers the following subscription plans:

• Free Plan: Basic features with limited storage and queries
• Pro Plan: Enhanced features for individuals and small teams
• Enterprise Plan: Full features for organizations

Plan details, features, and pricing are subject to change. Current pricing is always available on our Pricing page. Final prices, including any applicable taxes, are displayed at checkout by our authorized payment processor.

4.2 Billing

Subscriptions are billed in advance on a monthly or annual basis, depending on your selected billing cycle. By subscribing, you authorize our designated Merchant of Record to charge your payment method for the applicable fees. Annual subscriptions provide approximately 16% savings compared to monthly billing.

4.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current rate for your plan.

4.4 Cancellation

You may cancel your subscription at any time through your account settings or the billing portal. Cancellation will take effect at the end of your current billing period. You will retain access to paid features until the period ends, after which your account will revert to the Free plan.

4.5 Price Changes

We may change our prices from time to time. Any price changes will be communicated to you in advance and will apply to subsequent billing periods.

4.6 Plan Upgrades

You may upgrade your subscription at any time (e.g., from Pro to Enterprise). Upgrades take effect immediately. You will be charged a prorated amount for the difference in plan pricing for the remainder of your current billing period. For example, if you upgrade from Pro to Enterprise mid-cycle, you will pay the prorated difference right away and gain immediate access to Enterprise features.

4.7 Plan Downgrades

You may downgrade your subscription at any time (e.g., from Enterprise to Pro). Downgrades are scheduled to take effect at the end of your current billing period. You will retain access to higher-tier features until that date. No refunds or credits are issued for downgrades. Switching from annual to monthly billing is treated as a downgrade and will take effect at the end of your annual period.

4.8 Payment Processor & Merchant of Record

All payments are processed by our authorized Merchant of Record. This means that when you purchase a subscription, the transaction is handled by our payment processor, not directly by Docurest. Our Merchant of Record is responsible for processing payments, issuing invoices, handling chargebacks, and collecting applicable taxes.

Your credit card and billing information is collected and stored by our payment processor, not by Docurest. By subscribing, you also agree to the terms of service and privacy policy of our designated payment processor.

You can manage your payment methods, view invoices, and update billing information through the customer portal accessible from your account settings.

4.9 Taxes (VAT / Sales Tax)

All prices displayed on our website are exclusive of applicable taxes unless otherwise stated. Our Merchant of Record automatically calculates, collects, and remits all applicable VAT, sales tax, and other transaction taxes on your behalf based on your location. The final amount charged, including any applicable taxes, will be displayed at checkout before you confirm your purchase.

5. Refund Policy

5.1 30-Day Money-Back Guarantee

We offer a 30-day money-back guarantee on all subscription purchases. If you are not satisfied with the Service for any reason, you may request a full refund within thirty (30) days of your purchase — no questions asked. This applies to all plans, billing cycles, and regardless of usage.

5.2 Requesting a Refund

To request a refund, contact us at support@docurest.com within 30 days of your purchase. Refunds are processed by our authorized payment processor and typically appear on your statement within 5–10 business days.

5.3 Cancellation

You may cancel your subscription at any time. Cancellation stops future billing. You will retain access to paid features until the end of your current billing period, after which your account reverts to the Free plan.

6. Acceptable Use

6.1 General Prohibited Conduct

You agree not to use the Service to:

• Upload, store, or transmit any content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
• Infringe on any third party's intellectual property rights, copyrights, trademarks, or trade secrets
• Upload malware, viruses, or other malicious code
• Attempt to gain unauthorized access to the Service or other users' accounts
• Interfere with or disrupt the Service or its infrastructure
• Use automated means to access the Service without our permission
• Resell or redistribute the Service without authorization
• Use the Service for any purpose that violates applicable laws or regulations
• Provide false, misleading, or fraudulent information in connection with your account or any transaction

6.2 Prohibited Content Categories

You may not upload, process, or distribute through the Service any content that falls into the following categories:

• Hate speech & discrimination: Content that promotes hatred, violence, or discrimination against individuals or groups based on race, religion, ethnicity, nationality, disability, gender, sexual orientation, or any other protected characteristic
• Adult or explicit content: Sexually explicit, pornographic, or otherwise age-restricted material
• Gambling: Content related to gambling, lotteries, betting, or games of chance
• Regulated financial content: Trading signals, investment advice, or any content that constitutes a regulated financial service or product
• Fraudulent schemes: Pyramid schemes, multi-level marketing, get-rich-quick schemes, or other deceptive marketing practices

6.3 AI-Specific Restrictions

When using the AI features of the Service, you additionally agree not to:

• Generate deepfakes, face swaps, or synthetic media using any person's likeness without their explicit consent
• Create voice impersonations or clones of real individuals without authorization
• Use AI-generated outputs to impersonate or deceive others
• Generate content that could be used for spam, phishing, or social engineering attacks

6.4 Compliance with Third-Party Policies

Your use of the Service must also comply with the acceptable use policies and terms of our third-party service providers, including our payment processor and Merchant of Record. Violations of third-party policies may result in suspension or termination of your account.

6.5 Data Protection

You agree to use the Service in compliance with all applicable data protection and privacy laws, including the EU General Data Protection Regulation (GDPR) where applicable. You must ensure you have obtained all necessary consents before uploading any personal data to the Service.

6.6 Enforcement

We reserve the right to investigate and take appropriate action against any violations of this Acceptable Use Policy, including suspending or terminating your account, removing content, and reporting violations to law enforcement where applicable.

7. User Content and Intellectual Property

7.1 Your Content

You retain full ownership of all documents and content you upload to the Service. We do not claim any ownership rights over your content.

7.2 License to Us

By uploading content, you grant us a limited, non-exclusive license to process, store, and display your content solely for the purpose of providing the Service to you. This license terminates when you delete your content or close your account.

7.3 Your Responsibilities

You represent and warrant that you have all necessary rights to upload your content and that your content does not infringe any third party's intellectual property rights.

7.4 Our Intellectual Property

The Service, including its software, design, logos, and documentation, is owned by Docurest and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service without our written permission.

8. AI Service Disclaimers

8.1 AI Limitations

The Service uses artificial intelligence to process documents and generate responses. You acknowledge and agree that:

• AI responses may be inaccurate, incomplete, or misleading.
• The AI may misinterpret your queries or document content.
• AI-generated responses should not be relied upon as the sole basis for important decisions.
• The Service does not guarantee any particular level of accuracy or reliability.

8.2 No Professional Advice

The Service is not intended to provide legal, medical, financial, or other professional advice. AI-generated responses are for informational purposes only and should not substitute for professional consultation.

8.3 User Responsibility

You are solely responsible for any decisions or actions you take based on AI-generated responses. We strongly recommend verifying important information through primary sources.

8.4 Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• DOCUREST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL.
• DOCUREST'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
• THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED, WHETHER CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such cases, our liability will be limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Docurest, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third party's rights; or (d) your content.

11. Termination

11.1 Termination by You

You may close your account at any time through your account settings or by contacting us. Upon closure, you will lose access to your account and all associated data.

11.2 Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice, if we believe you have violated these Terms, engaged in fraudulent activity, or if required by law.

11.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may delete your account and associated data after a reasonable retention period. Provisions of these Terms that by their nature should survive termination will remain in effect.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Docurest is established, without regard to its conflict of law provisions.

For users in the European Union, you retain any mandatory consumer protection rights granted under the laws of your country of residence.

13. Dispute Resolution

13.1 Informal Resolution

Before filing any formal dispute, you agree to first contact us at support@docurest.com to attempt to resolve the dispute informally. We will work with you in good faith to resolve any issues.

13.2 Formal Disputes

If a dispute cannot be resolved informally within 30 days, either party may pursue formal resolution. Any legal proceedings shall be conducted in the courts of competent jurisdiction.

13.3 Class Action Waiver

To the extent permitted by law, you agree that any disputes will be resolved on an individual basis and you waive your right to participate in class action lawsuits or class-wide arbitration.

14. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we may provide additional notice via email.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service.
